Business software company Yammer has agreed to sell itself to Microsoft for $1.2 billion, according to The Wall Street Journal.
It?s not clear when the Yammer deal will be completed or announced, the report said.
The deal is a sign that Microsoft may be trying to bolster its popular Office software suite, according to the Journal.
Yammer is an enterprise social network that provides a secure way for employees to communicate and share files.
It is one of a set of new software companies -- including Box, Dropbox, Jive Software and Basecamp -- that are providing workers with new tools to communicate, store and share files at work, or edit them along with their coworkers, the newspaper noted.
The Yammer acquisition follows a handful of similar deals where large, established software companies purchase smaller players who are focused on social media.
For example, in May Oracle acquired Virtue, a cloud-based marketing company, while Buddy Media, another social media marketing platform, was acquired by Salesforce.com in early June.
These new companies are a threat to Microsoft, which pioneered software for the workplace, the Journal said. However, the software also links in to and enhances Microsoft software products, such as Outlook e-mail, the newspaper said.
The Journal also points out that the Yammer deal marks the second time Microsoft has acquired a company that?s about to do an initial public offering.
Last May Microsoft acquired Internet video chat company Skype for $8.5 billion in cash -- the biggest acquisition in Microsoft?s history. Prior to the deal, Skype owners had filed documents to take the company public, the Journal said.

The BBC has traditionally been big on Android, and mobile content in general -- back in 2010 it was one of the first broadcasters to bring live, streaming TV to the platform in its iPlayer app. Today the Beeb launches its latest mobile endeavor -- a re-vamped BBC Sport mobile site with support for video streaming over mobile networks.
Right now the new site features the same video clips found on the BBC Sport desktop page. But when the BBC is covering a sporting event live, as it's doing with the Euro 2012 soccer football championship and the Olympic Games, those live video streams will be available on mobile too.
In the past the BBC had limited this sort of thing to Wifi users, presumably to avoid the wrath of network operators. But with the increasing speed of 3G and HSPA+ networks across the country, it seems the broadcaster decided it's safe to make the switch. Needless to say, the video content is limited to users in the UK for the moment.
The new mobile site is live now at bbc.co.uk/sportmobile. To view video content, you'll need an Android device running version 2.2 or better, or an iPhone or iPad on iOS 5 or greater.

(MoneyWatch) Microsoft (MSFT) has agreed to acquire enterprise social networking company Yammer for $1.2 billion, according to a report in the Wall Street Journal. The move extends Microsoft's reach into corporate information technology and lets it compete more thoroughly against Google (GOOG) by bolstering its cloud computing offerings.
Yammer is one of a group of start-ups that has targeted so-called enterprise social networking, like a combination of Twitter and Facebook aimed at private use by companies. Such technology allows employees to keep abreast of each other's activities, which should promote collaboration and innovation. The only company in this space with an even higher profile is Jive Software, which had $77.3 million in revenue during 2011 and a net loss of $50.8 million.
Yammer raised an $85 million round of funding last quarter, bringing its total to $142 million since 2009. That set an estimated valuation of $500 million to $600 million, so those recent investors will roughly double their money.
The company claimed 5 million corporate users in the first quarter of 2012 and penetration into more than 85 percent of the Fortune 500. Although the bulk of these users are unpaid, Yammer uses an interesting monetization model.
It allows people within a company to set up a private social network for free. But a company must pay for administrative control over employee use. By encouraging free use, Yammer hoped to create a grassroots movement in companies, build a dependency of usefulness, and eventually encourage revenue streams using a number of pricing models.
One of the company's strategic strengths has been its decision to create an open application programming interface, or API. That allows others to create additional and extensions, like integration into SAP's popular ERP software for running large organizations. In April it announced integration with Microsoft Dynamics, the software giant's customer relationship management platform.
The acquisition adds some important capabilities to Microsoft's software portfolio. The company already has a major collaboration platform in its SharePoint product, but many companies don't make thorough use of it. Yammer gives Microsoft a way to build collaboration and communication and extend its reach. Microsoft could then add administrative and other features to its existing software packages.
Yammer also brings Microsoft some important competitive advantages in cloud computing. It could help extend the capabilities of the cloud versions of Microsoft Office and make its offerings more attractive to companies that otherwise might consider Google's cloud applications and its Google+ social network.
The acquisition could help improve the lot of social network and Internet companies, which have felt a sting in the investment market since the problems of the Facebook (FB) IPO.

Instructions
Step 1:
Place your Apple iPad on a flat surface. Use a rubber mat or soft cloth to lay the device on. Insert the flathead prying tool that came with your iPad toolkit, and place it between the top-left edge of the front and back panel.?? ?
Step 2:
Rotate the prying tool away from you to release the tabs near the edge of the display. Then insert another flathead prying tool between the top-left edge and rear panel. This will prevent the front panel from snapping back into place.?????????? ?
Step 3:
Move one of the flathead prying tools along the right edge of your iPad Touchscreen, until you have released all the tabs. Lift the front panel away from the back panel,?? and do not remove it. The ribbon cables underneath it are still attached to the rear panel.?
Step 4:
Disconnect the cables that are attached to the logic board. You will need to unplug the digitizer, ambient light sensor, and display data cables. Use the iPad prying tool to flip up the retaining flaps for the digitizer. Carefully pull the cables out of the sockets. Use the prying tool again, and remove the ambient light sensor from its socket. Detach the display data cable from the logic board. Pull on the black plastic tab to disconnect the cable from the socket.??? ?
Step 5:
Lift the front panel of the iPad from the back panel. Now, pry the ambient light sensor board off the adhesive that is holding it to the display frame. Peel back the tape that is holding the digitizer to the display frame.? read more >>

PROVIDENCE, R.I. (AP) ? The federal and state probes into former Red Sox pitcher Curt Schilling's video gaming company, which filed for bankruptcy protection this week, extend to all the firm's financial transactions, the head of the Rhode Island state police said Friday.
Col. Steven O'Donnell said state police, the state attorney general, the U.S. attorney in Rhode Island and the FBI are conducting the investigation into 38 Studios. He didn't elaborate.
The U.S. attorney's office confirmed the investigation but would not provide details.
The Providence-based company, along with a sister operation in Baltimore, filed for bankruptcy Thursday in Delaware.
The parent firm owes $150.7 million and listed its assets at $21.7 million, according to court filings. 38 Studios Baltimore owes more than $121.4 million and has assets of more than $335,000, the filings show.
In both filings, the company lists its biggest liability as $115.9 million in debt from bonds backed by the state, interest on the bonds and fees to Rhode Island.
Schilling, who also pitched for Baltimore, Houston, Philadelphia and Arizona and won the World Series three times, owns 83 percent of the company, according to the filings.
38 Studios moved to Providence from Massachusetts in 2010 after the state's economic development agency approved a $75 million loan guarantee that was supposed to lead to hundreds of jobs and millions of dollars in tax revenue.
Now, with the firm's bankruptcy filing, state officials are trying to determine how much taxpayers might be on the hook for.
Gov. Lincoln Chafee, who vigorously opposed the loan guarantee on the campaign trail, said Thursday he would do everything possible to salvage what he could of the state's investment.
"If there's a penny that we can get, or a nickel or a dime, we'll get it," he said.
In a statement, 38 Studios said it tried for weeks to find a way to stay afloat but concluded bankruptcy was the only option.
"After ongoing negotiations with the state of Rhode Island and potential investors and other interested parties, the company has been unable to find a solution to the current stalemate," the statement said.
A message seeking comment was left for Schilling on Friday.
Last month, the company laid off nearly 300 employees in Providence and more in Maryland. The move came after it was more than two weeks late on a $1.1 million payment to the state.
38 Studios has been seeking millions of dollars in tax credits from Rhode Island as it struggled to stay solvent, a request that led to accusations the company was looking for a bailout.
As a condition of the loan guarantee, 38 Studios granted Rhode Island a security interest in all its assets.
Chafee said Thursday that the filing wasn't a surprise. The state recently selected an outside auditor to review the finances of Schilling's company. Chafee had indicated he didn't want to give the company any more public support at the risk of throwing "good money after bad." Instead, the state tried to help find private investment.
"We helped as much as we could," he said.
38 Studios owes at least $2.5 million to employees in Rhode Island and Maryland and $322,000 in federal and state taxes, including $39,000 to Rhode Island, according to the bankruptcy filings.
It owes fantasy writer R.A. Salvatore, who helped develop Schilling's first game, "Kingdoms of Amalur: Reckoning," more than $1.7 million. The game came out to strong reviews in February; Schilling said it beat sales expectations, but Chafee has called it a "flop."
The parent company listed no income from its business operations from Jan. 1, 2010, through May 31 of this year. The Baltimore company listed $22 million in income under a "work for hire agreement" with Electronic Arts Publishing, which published "Kingdoms of Amalur," and $635,000 in royalties during the same period.
Schilling wasn't drawing a salary, the filings show. The bankruptcy filing names Schilling as a co-debtor and lists two personal guarantees he made on credit lines totaling more than $3.5 million.
Chief Executive Officer Jen MacLean was paid $253,000 a year, while President and Chief Operating Officer William Thomas made about $200,000.

A 13-year-old student at Plaza Middle School in Virginia Beach, Va., was given in-school suspension after a teacher reported he used an American flag to wipe his hands after going to the bathroom, WTKR-TV reports.
According to the station, the young boy claimed there were no napkins left in the bathroom when the teacher confronted about the incident.
?[This has been] very traumatic,? Victoria Hinton, the boy's mother, told WTKR-TV. ?It has had an emotional impact on my son?s education.?
Hinton also spoke with WAVY-TV, telling the station she believed the teacher overreacted in handling the situation.
"Why didn't you just take him aside and first ask him, 'Hey, is everything okay?''' Hinton told the station. "And then proceed by saying, 'well, you know, the American flag is something we respect and we hold very high in our country, so you know, just keep that in mind.'"
Despite his mothers' protest, the school maintains the boy was "disciplined in accordance with the Code of Student Conduct."

WASHINGTON (AP) ? Wearing a blue floral print dress, Eileen McNamee presented herself as a soft-spoken first-grade schoolteacher who never nagged her now-estranged husband about Roger Clemens. She went on to contradict the government's key witness many times ? and even came up with a different brand of beer to associate with the crucial evidence in the perjury trial of the former pitcher.
On a day in which the judge lost his temper twice with Clemens' lawyers, the defense turned Wednesday to the soon-to-be-ex-wife of Brian McNamee. This was the woman who McNamee testified harangued him with the words "You're going to go down! You're going to go down! You're going to go down!" ? pestering him until he saved medical waste from an alleged steroids injection of Clemens so that he wouldn't be the fall guy in any sort of drugs investigation.
She says she never said anything of the sort. She said McNamee didn't tell her back then that he was injecting Clemens, and that she wasn't especially bothered by the extended time her husband spent away from home working with the seven-time Cy Young Award winner. Brian McNamee said the days apart had become a source of friction in the marriage.
"I probably complained once in a while," Eileen McNamee said. "But I did not fuss about it."
Clemens is charged with lying when he told Congress in 2008 that he never used steroids or human growth hormone. Brian McNamee is the only witness to claim firsthand knowledge of Clemens using those substances. He testified last month that he injected Clemens in 1998, 2000 and 2001 and saved the needle and other waste from a 2001 injection. He said he put some of it in a Miller Lite can to bring home because his wife was giving him a "hard time every single day."
In testimony that sometimes sounded more like divorce court than criminal court ? the couple are undergoing contentious divorce proceedings in New York ? Eileen McNamee spun a narrative that could give the jury more pause when evaluating Brian McNamee's credibility.
Among the other differences in their stories:
? Brian McNamee testified that he showed his wife the needles and other waste from the injection as soon as he got home that night, and that she played a role in putting them ? along with beer can ? in a FedEx box. Eileen McNamee said she wasn't even aware the box was in the house until shortly afterward, when she discovered it on a shelf in the basement during a time of flooding in the neighborhood.
When she asked him about the box, she said he replied that he was "saving things for his protection and it was none of my concern." She said he didn't tell her what was in the box and that he didn't connect it to Clemens.
? Eileen McNamee said she saw the box again two or three years later in her husband's bedroom closet and that it was open. She said she pulled out the contents and saw some vials and what appeared to be unused needles. She said she didn't recall seeing a beer can in the box, but that there was Bud Light can with syringes sitting next to the box. She said she put the items back in the box and never mentioned them to her husband.
? Eileen McNamee indicated that the couple's marriage began to deteriorate because of an incident in Florida in 2001 ? and not because of her husband's relationship with Clemens. The jury has heard the 2001 incident referred to only as a "serious criminal investigation," but it involved Brian McNamee being questioned about an alleged sexual assault in connection with a woman who was found to have a date rape drug in her system. He was not charged.
? Brian McNamee moved out of the couple's home shortly before the 2007 Mitchell Report on drugs in baseball was released. It was only then that she said he told her about his involvement with Clemens and performance-enhancing drugs. The report was the first public mention of McNamee's claim that he injected Clemens.
Eileen McNamee was granted immunity before her testimony because her husband linked her to transactions involving prescription drugs that could, in theory, have led to charges against her.
The government will get a chance to cross-examine Eileen McNamee on Thursday and will no doubt question her motives because of the parallel divorce proceedings. Earlier in the Clemens trial, U.S. District Judge Reggie Walton quipped about divorce court: "Everybody lies in that court."
While her testimony might keep Clemens out of jail, the judge sounded ready to put Clemens' lawyers in a lockup during two outbursts from the bench.
First, the judge lambasted Michael Attanasio for not being forthcoming to the prosecution about the line of questioning he was planning to use with the defense's DNA expert.
"There's no excuse for this, Mr. Attanasio. ... You all have been playing fast and loose, and I'm sick and tired of it!" Walton yelled. He said he blamed both sides, and noted that if he kept the expert off the stand it would be unfair to Clemens, but: "Sometimes when you roll the dice, you lose!"
Later, Walton became furious with Clemens' Houston-based lawyer, Rusty Hardin, during a debate over the nature of Eileen McNamee's testimony.
"I don't know how you all practice law down in Texas ... ," Walton began.
Hardin bristled and interrupted: "Same as anywhere else."
Walton stormed back: "Just as you can get mad, I can get mad too! Don't look at me like you're going to intimidate me, sir!"
Walton later apologized to Hardin.
The defense used their DNA expert, Mark Scott Taylor of Technical Associates Inc., to suggest that the beer can evidence could have been contaminated or tainted. The government earlier produced an expert who said Clemens' DNA was found on two cotton balls inside the beer can and that a likely match for his DNA was found on a needle outside the can.
